AI Assistant End User License Agreement (EULA)

1. Definition of the AI Assistant

“AI Assistant” refers to the software-based, semi-autonomous digital agent developed and provided by Byte Strategy LLC.  The AI Assistant uses artificial intelligence and natural language processing to assist with tasks, respond to user prompts, and support creative, operational, or strategic workflows.

2. License Grant

We grant you a non-exclusive, non-transferable, and revocable license to use the AI Assistant for personal, artistic, educational, and commercial purposes, subject to the terms outlined in this Agreement.

3. Restrictions

You may not:

• Copy, modify, distribute, or sublicense the AI Assistant’s underlying code
• Reverse engineer, disassemble, or attempt to derive the source code
• Use the AI Assistant for any illegal, unethical, or harmful purposes
• Resell, redistribute, or offer the AI Assistant as a service to third parties without written permission from Byte Strategy LLC

4. Ownership of AI-Generated Content

You retain full ownership of the content you generate using the AI Assistant. You may use, distribute, publish, or modify the content for personal, artistic, educational, or commercial purposes. However, you are solely responsible for ensuring that your use of such content complies with all applicable laws.

5. Termination

We reserve the right to suspend or terminate your license at our sole discretion if you breach any terms of this Agreement. Upon termination, you must cease all use of the AI Assistant and destroy any downloaded or stored copies of associated materials.

6. Disclaimers and Limitations

• The AI Assistant is not a substitute for licensed professional advice, including legal, medical, or financial guidance.
• Byte Strategy LLC makes no guarantees regarding the accuracy, reliability, or completeness of any AI-generated content.
• You are solely responsible for validating outputs and complying with any applicable laws or regulatory obligations.

7. Compliance with Laws

By using the AI Assistant, you agree to comply with all applicable local, state, national, and international laws and regulations. This includes, but is not limited to, those related to data privacy, intellectual property, and AI system deployment.

Examples of applicable regulations include:

• EU General Data Protection Regulation (GDPR)
• EU Artificial Intelligence Act (AI Act)
• California Consumer Privacy Act (CCPA)
• FTC AI & Algorithmic Fairness Guidelines
• U.S. Privacy Rights
• China’s AI and Data Privacy Regulations

You are solely responsible for ensuring that your AI Assistant deployments and outputs meet all jurisdictional requirements.

8. Modifications to the Agreement

We may update or revise this Agreement at any time. Material changes will be communicated via email or posted prominently on the Site. Continued use of the AI Assistant after such changes constitutes your acceptance of the revised terms.

9. Availability and Support

We do not guarantee uninterrupted access to the AI Assistant. Downtime may occur due to maintenance, upgrades, or technical issues. No refunds or service-level guarantees are provided unless explicitly stated in a separate agreement.

10. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Florida, United States. Any disputes arising from this Agreement will be resolved in the competent courts located in Florida.
